David Smith is a partner in the Mergers and Acquisitions Practice Group. Mr. Smith's practice is centered on mergers, tender offers, stock and asset acquisitions, recapitalizations, joint ventures and related financings and reorganizing distressed assets and companies. Mr. Smith has represented acquirors, targets, boards of directors, special committees and investment banks in many complex domestic and cross-border, negotiated and unsolicited, and public and private transactions. In recent years, Mr. Smith's clientele has included technology and biotechnology companies purchasing or selling stock or assets or merging or collaborating with other companies as well as companies in the energy sector buying, selling and investing in utilities, power generation, transmission, distribution, pipeline, storage, energy services companies and other energy-related companies and assets.

Accredited Home Lenders. Mr. Smith represented Accredited Home Lenders in its $400 million merger with Lone Star;

Illumina, Inc. Mr. Smith represented Illumina, Inc. in its $600 million acquisition of Solexa, Inc.;

Abgenix, Inc. Mr. Smith represented Abgenix, Inc. in its $2.3 billion merger with Amgen Inc.;

Sempra Energy Trading Corp. Mr. Smith represented Sempra Energy Trading Corp. in its $250 million sale of Energy Center Investments, LLC; and
