Delaware Quarterly: Recent Developments in Delaware Business and Securities Law

The Delaware Court of Chancery issued several notable decisions in the first quarter of 2012, the most prominent of which was Chancellor Strine’s opinion in In re El Paso Corporation Shareholder Litigation, a decision that, while denying plaintiffs’ attempt to enjoin the transaction based on alleged conflicts of interest on the part of the CEO of El Paso Corporation and its financial advisors, is notable for its criticism of the sale process run by El Paso Corporation in connection with its acquisition by Kinder Morgan.
