Andrianne Payson has worked with energy industry clients, including utilities, project developers and investors, on a variety of transactions in the US and Africa. Her experience includes acquisitions and sales of energy assets, utility mergers, and infrastructure development projects in the power generation and transmission sectors. Prior to joining the firm, Ms. Payson was an auditor in the energy group at PricewaterhouseCoopers LLP. She is a Certified Public Accountant licensed in the State of New York.

U.S.
United Water, Inc., a subsidiary of SUEZ ENVIRONMENT, in connection with private placements and tax-exempt bond financings of infrastructure upgrades to water transmission and delivery systems in New Jersey and New York;
Duke Energy Corporation in its acquisition of Catamount Energy Corporation from funds affiliated with Diamond Castle Holdings, LLC;
IBERDROLA RENEWABLES, Inc. in the sale of its 200 MW West Valley power plant located near Salt Lake City, Utah to a subsidiary of Constellation Energy Group, Inc.;
Babcock & Brown Infrastructure Limited in its proposed $2.2 billion acquisition of NorthWestern Corporation; and
Northeast Power Coordinating Council, Inc., one of eight Regional Entities that comprise the members of NERC, on corporate and board governance matters.
International
Electricidade de Moçambique in the ongoing development of the CESUL regional transmission system from Tete to Maputo in Mozambique;
Private developer in connection with power, timber and road concession agreements in South Sudan;
Mirant Trinidad Investments, LLC in its Rule 144A notes offering to finance a 208 MW expansion of the Point Lisas Power Station in Trinidad;
Volta River Authority (Ghana) in negotiating and drafting project agreements and financing documents, including power purchase agreements, operation and maintenance contracts and service agreements;
Volta River Authority (Ghana) in connection with the development of the West African Gas Pipeline project, sponsored by affiliates of Chevron and Shell and state governmental agencies in Ghana and Nigeria; and
African governments and parastatals in arbitration proceedings involving power purchase agreement disputes.
