Mr. Bozzetti is a partner in the Compensation, Benefits and Employment Department. Mr. Bozzetti advises the firm's clients on all matters relating to executive compensation, including non-qualified employee benefit plans, incentive compensation programs, change in control, employment and severance arrangements, and compensation issues within mergers and acquisitions.
His practice includes:
- Designing, drafting and implementing non-qualified benefit plans; equity- and non-equity-based incentive compensation programs; and related advice concerning tax, financial and securities compliances and disclosure issues;
- Advising boards of directors on director and officer compensation arrangements;
- Negotiating and drafting employment, change of control, consulting and severance agreements;
- Reviewing employee benefit and executive compensation arrangements in anticipation of changes in control;
- Advising regarding sections 162(m), 280G and 409A; and
- Advising regarding employee benefit and executive compensation issues in initial public offerings, mergers and acquisitions (M&A), divestitures, IPOs, finance and other transactions.
