In the field of Banking and Capital Markets, we represent issuers, underwriters, placement agents, selling shareholders, trustees and depositaries in equity and debt capital market transactions, borrowers, lenders and arrangers in bank finance transactions, and banks and special purpose vehicles in structured finance transactions. In addition, we provide advice on regulated and unregulated investment funds as well as the incorporation of banks.

In the field of M&A/Private Equity, we advise clients on national and international acquisitions and disposals, private equity transactions, takeovers and joint ventures, as well as all related matters of corporate, employment and pension/benefits law. The team also advises on corporate restructurings and has extensive experience in the area of distressed assets. The employment and pension/benefits team specializes in particular in the implementation of performance-related remuneration schemes and management equity participation schemes.

The tax practice advises on all national and international tax issues, particularly in connection with fund structures (open-ended and closed-ended funds), M&A and private equity transactions, corporate restructurings, real estate transactions, as well as the tax-optimized structuring of large-scale private estates. As an additional focus of our activities, we provide tax advice on financial products to banks and assistance on tax audits and tax related litigation.

In the field of Real Estate, we advise private and institutional investors, private equity funds and project developers on a wide range of matters, including advising on the structure of a particular real estate investment as well as the preparation and performance of due diligence reviews, the drafting and negotiation of the relevant documentation, and the subsequent winding-up of a transaction. Our services also include advising on portfolio transactions for both commercial and residential properties, as well as special real properties like hotels, nursing homes or logistical centres. In addition, the team advises also beyond transactional work, real property owner on any kind of day-to-day real estate related issues.

Our Employment Law Practice Group advises national and international clients on all employment, pension and benefit related aspects of M&A transactions and corporate restructuring measures as well as on a day-to-day basis in all questions of German and EU labor law. We also represent our clients in employment and labor law court proceedings. Our clients are national and international enterprises, including leading listed companies as well as startups and mid-caps.

We advise on employment and pension law aspects of M&A transactions, post transaction integration, corporate restructuring measures, negotiations with trade unions (including interest agreements and social plans). Our practice includes compliance (antidiscrimination law) and regulatory compliance as well as unfair dismissal claims of individual employees.
