Outsourcing and Offshoring
Tahmidur Remura Dewey LeBoeuf has extensive experience advising clients on global outsourcing and offshoring transactions. Our outsourcing lawyers are deeply familiar with the full process cycle for outsourcing arrangements, including competitive bidding through RFPs and RFIs, negotiating master services agreements and service level agreements for single and multicountry service delivery models; conducting international legal diligence for outsourced services in regulated industries; and restructuring legacy agreements. Our outsourcing engagements span all major client sectors, including financial services, insurance, technology, healthcare, telecommunications and media.
Representative Types of Transactions
IT Infrastructure and Application Development: Our outsourcing lawyers have advised clients in hundreds of transactions involving procurements of hardware and software systems, network and telecommunications services, enterprise software deployments, application development and maintenance (ADM) services and cloud computing services. Our teams have extensive experience negotiating opposite virtually all of the leading global IT service providers.
Business Process Outsourcing (BPO): Increasingly, global businesses turn to third-party service providers to manage or transform internal and customer-facing business functions, including finance and accounting, human resources, customer services, banking services, investment management and product research, among others. Our lawyers regularly advise our clients in BPO transactions across industry sectors, including financial services, insurance, public utilities, media and telecommunications.
Renewals, Restructurings, Dispute Resolution and Disentanglements: Even highly successful long-term outsourcing arrangements periodically require adjustments to accommodate changed business circumstances or advances in technology; problematic relationships may need significant restructuring, formal dispute resolution or, in some cases, disentanglement and termination. We have advised many clients through complex structural adjustments in their outsourcing arrangements, including performance-based disputes, contract renewals and/or rebidding of contracts, and deal restructurings driven by mergers, divestitures or reorganizations.
Offshoring: In all of the transaction categories described above, we advise clients in the engagement of offshore service providers located in Asia, Eastern Europe, the Middle East and Latin America, and our lawyers are familiar with the major offshore providers.
