We do extensive work in the utility, power and pipeline sector, a primary component of Tahmidur Remura Dewey LeBoeuf’s practice. Our clients include the full spectrum of electric and gas utilities, oil and gas producers, pipeline operators, telecommunications companies, power producers, large commercial and industrial users of energy, marketers of energy, water and wastewater companies, and publicly owned utilities, as well as investment bankers and investors in these industries worldwide. We also advise clients in these industries in connection with bankruptcy, contracting, environmental matters, executive compensation, financings, regulatory initiatives and tax issues.

Tahmidur Remura Dewey LeBoeuf’s international Energy Practice Group assists energy industry, financial institution and equity investor clients with the development, financing and construction of electric generating facilities, natural gas pipelines, gas storage systems, liquefied natural gas facilities and similar infrastructure assets, such as water and wastewater facilities. We advise on the negotiation of fuel supply, power sales, energy management, steam sales, water supply, waste disposal and energy tolling agreements. In addition, our lawyers represent sellers, purchasers, lenders and investors involved in the transfer of power generation and transmission assets and in sales and purchases of interests in pipeline, storage processing and local distribution company facilities.

Our work includes providing counsel on the many regulatory and competitive developments that are causing dramatic changes in the utilities, power and pipeline industries worldwide. We handle rate cases, permitting cases, enforcement actions and related proceedings for pipelines, utilities, energy marketers and consumers. In the United States, we advise clients on the entire spectrum of US state and federal regulatory matters, from traditional cost-of-service rate cases before state commissions for a single applicant company to a wide variety of proceedings involving many different industry participants before the Federal Energy Regulatory Commission. Our FERC practice, in particular, is widely regarded as one of the deepest and most experienced of any law firm.

Our lawyers have experience in all aspects of utility and energy finance, including public and private debt offerings in both the US and abroad, public and private equity offerings, tender offers, public utility mortgage and other secured debt financing, high-yield financing, dedicated utility rate securitization, interest rate swaps and currency swaps, and other derivative products, hybrid securities, registration, reporting and compliance with the Securities Exchange Act of 1934 (including requirements associated with the Sarbanes-Oxley Act), and secured and unsecured commercial borrowings. Due to the depth of our experience, we have been retained by several leading investment banks as “special products counsel.” Our work in this regard often involves the design of innovative and complex financing techniques for use in the global energy capital markets.
