Supreme Court to Review Finality of Power Contracts

On January 19, 2008, the United States Supreme Court heard oral argument regarding the finality of fixed-rate, forward power contracts. At issue was whether the rates for such contracts could be modified on the grounds that there was a dysfunctional market place at the time of execution, which resulted in unjust and unreasonable rates. The Supreme Court’s forthcoming decision implicates the long-standing Mobile-Sierra doctrine, which generally holds that the rates in contracts cannot subsequently be altered absent a showing that such modification is required by the public interest.

On November 20, 2008, the Federal Energy Regulatory Commission (FERC or Commission) issued a rulemaking final order, Order No. 720, adding new internet posting requirements for interstate and major non-interstate (mostly intrastate) pipelines. Order No. 720 implements section 23 of the Natural Gas Act (NGA), 15 U.S.C. § 717t-2, which authorizes FERC to “facilitate price transparency in markets for the sale or transportation of physical natural gas in interstate commerce.” Section 23, added to the NGA by the Energy Policy Act of 2005, also gives FERC responsibility for collecting and disseminating “information about the availability and prices of natural gas at wholesale and in interstate commerce.” These informational posting requirements are yet another step in the direction of increasing public access to transportation or transmission related information. The Commission maintains that these additional requirements will help market participants better assess the effect that non-interstate pipeline gas flows have on prices in the interstate wholesale gas market.

(LONDON/ABU DHABI, September 23, 2011) – Dewey & LeBoeuf has advised Georgia Urban Enerji Ltd (GUE), a subsidiary of Turkey’s Anadolu Group, on the acquisition of a five percent stake in the company’s equity by the European Bank for Reconstruction and Development (EBRD), as part of the US$167 million financing of a hydropower plant in Georgia.

The Paravani Hydroelectric Power Plant will be an 87 MW run-of-river facility. GUE will construct the Paravani project in the south west of Georgia, with transmission lines connected to the Georgian and Turkish power grids.

Federico Salinas, the Anadolu Group relationship partner, commented: "Over the years, we have had the pleasure of assisting the Anadolu Group on a range of investments and acquisitions in Turkey and abroad. In the course of his career, Mr. Hammerson has undertaken three in-house secondments with major energy clients. Mr. Hammerson is a frequent speaker at energy events and is recommended in the Chambers and Legal 500 guides.

Dewey & LeBoeuf has grown its highly rated global energy practice with several key hires in 2011. In May, Jochen Terpitz joined the firm from Allen & Overy, along with two associates. Mr. Terpitz is based in the Frankfurt office, and advises on all aspects of power projects across Europe with particular expertise in renewable energy projects. In January, Partners Karl V. Hopkins and Steven P. Otillar joined the firm from Baker & McKenzie LLP, along with Local Partner Shon C. Ramey and Senior Counsel Christopher S. Farrar. FERC Order No. 1000: Are The States Up To It?

This summer, the Federal Energy Regulatory Commission (FERC) issued Order No. 1000, its long-awaited rulemaking to reform its policies on transmission planning and cost allocation. Among other things, FERC now requires that electric transmission providers consider state and federal public policy requirements – such as renewable portfolio standards (RPS) – in their regional transmission planning processes, and that they develop a cost-allocation methodology for any such projects selected in a regional planning process.
